"Customer" is granted a limited non-exclusive license to use the software and related data files, collectively referred to as the "Software", herein ordered. Larkspur Data Resources Inc. the "Licensor", hereby grants Customer a non-exclusive and non-transferable license to internally use the Software within Customer's organization. All rights in the Software are held by Licensor. Customer may not use, copy, modify or transfer the software in whole or in part, except as expressly provided for herein. The Software may not be used by more than the number of users licensed on the Order Form. Customer shall not lease, sub-lease, rent, loan or otherwise distribute the Software to any party not a part of this agreement. Customer shall not attempt to create, generate, reverse engineer or compile any source code or source code version of the software or portion thereof, nor shall Customer aid or permit others to do so. You may not copy, install, or use the Software, in whole or in part, in any manner that allows its use by more than one individual without a Site License. A Site License entitles Customers to unlimited access to the Software at a single Customer location. All other terms and restrictions set forth in this Agreement shall be fully applicable to the use of both a Single User Version and a Site License. Your receipt and use of the Software provided by Licensor shall be deemed confirmation of (i) your request that Licensor provide the Software to you; and (ii) your acceptance and agreement to all of the terms, conditions and prices set forth herein. Your receipt and use of the Software shall further confirm (i) that there is a binding agreement between you and Licensor for the one-time delivery to you and use by you of the Software based on these terms, conditions and prices, (ii) that your and Licensor's intention is to be bound without any other writing or any writing signed by either or both you and Licensor. This agreement is between the Customer whose name and address is contained on the original order form and Licensor. Acceptance of these terms and conditions is acknowledged by opening the software package. Licensor shall not be liable for any damages or loss sustained by the purchaser through the use of the Software. Further, Licensor shall not be liable for any special or consequential damages, and in no event shall Larkspur Data Resources, Inc.'s liability exceed the cost of the Software. Licensor has used its best efforts to ensure the accuracy of the data contained within the Software but does not guarantee its accuracy in all respects. Licensor's Software is not guaranteed to be suitable for any particular purpose. The information contained in our Software provides potential sales leads. No refunds or returns will be accepted once the Software has been shipped by Licensor. This agreement shall be governed by the laws of the State of California.
